Property Investment
Considering the legal structure of a property investment alongside the investor's objectives.
The legal structure of an investment should fit how the property will be acquired, financed, used and eventually sold. A personal purchase, an acquisition through a company and a jointly held property raise different questions. The review connects the investment objective with the registered asset and the obligations accepted by each participant.
Issues that may need review
- The proposed purchaser is an individual, a foreign company or a Turkish company with foreign participation.
- Several investors will contribute money but their ownership, management and exit rights are unclear.
- The plan depends on rental use, a particular development permission or a later sale.
- A purchase is promoted together with a residence or citizenship expectation that needs separate verification.
Documents for an initial assessment
- Proposed ownership and funding structure, draft agreements and the expected use of the property.
- Current registry information, planning and building documents, leases and management plan.
- Company registration and representation records, shareholder arrangements and financing documents where relevant.
- Any permit, management agreement or eligibility statement on which the proposed investment relies.
Process and conditions that matter
The assessment begins by separating ownership from contractual promises: who will appear in the register, who supplies the funds, who makes decisions and who carries the liabilities? Title, permitted use, finance and the proposed exit are then checked together. For joint ownership, decision-making and deadlock arrangements deserve attention before funds are committed.
The rules for foreign individuals, foreign legal entities and Turkish companies with foreign participation are not interchangeable. The applicable acquisition route must be identified from the actual structure. Tax, financial and technical questions may require separate specialist input; legal review does not establish an investment return.
If you are outside Turkey
An investor based abroad should define the authority of any local representative or manager, the reporting arrangements and access to original records. If the plan includes short-term letting, the permission regime and building-specific requirements should be checked before purchase. Owning a property does not automatically grant a residence permit or citizenship.
Questions and answers
Can a company always buy on the same terms as an individual?
No. The company’s place of establishment, ownership and control can determine a different legal route. The use of a company should be assessed on its actual facts.
Does a private agreement between investors itself register their ownership shares?
A funding or management agreement and the registered ownership position are distinct. Both must be designed consistently, with the required form and registration considered.
Is a home suitable for tourism letting simply because it can be purchased?
No. The legal ability to acquire it and the permissions for the intended rental activity are separate questions.
